Terms of Service

Introduction

GoPing is an online discovery and marketplace technology platform that enables individuals, businesses, companies, organisations and other users to publish, discover and connect in relation to lawful goods, services, opportunities, businesses, events, properties, employment and educational opportunities, and other listings or offerings made available through the platform from time to time (“Platform”). GoPing provides the technological infrastructure through which users may create, publish, browse, search, discover and connect in relation to Listings(as defined in Section 2).

These Terms of Service ("Terms") govern your access to and use of GoPing, including its website, accounts, Listings, business profiles, search and discovery features, paid services and other features, products or services made available through the Platform.

If you do not agree to these Terms, you must not access or use the Platform. Whether you use the Platform on yourself or on behalf of an individual, business, company, organisation or other entity, you represent that you are authorised to accept these Terms for yourself or on its behalf, and references to "you" or "User" shall include that entity.

By accessing or using the Platform, creating an Account, publishing or viewing a Listing, purchasing a paid service, or otherwise using any part of the Platform, you acknowledge that you have read, understood and agree to be bound by these Terms, together with the Privacy Policy, Community Guidelines(If any) and any other policies, notices or additional terms applicable to the relevant feature or service.

GoPing may introduce new features, categories, products or services, or modify or discontinue existing features, from time to time. Unless expressly stated otherwise, such features, products or services shall be subject to these Terms and any additional terms presented when they are made available.

Definitions and Interpretation

For purposes of these Terms:

"Account" means a registered user profile created on GoPing to access features of the Platform, including publishing or managing Listings and using other features made available by GoPing.

"GoPing", "we", "us" or "our" means GoPing and, where applicable, its affiliates, successors and permitted assigns.

"Listing" means any information, advertisement, offer, requirement, profile, posting or other content published by or on behalf of a User on the Platform in relation to any lawful goods, services, opportunities, businesses, properties, employment, education, events, products or other offering or requirement, by or on behalf of.

"Paid Services" means any optional paid feature, promotional service, advertising service, subscription or other service made available by GoPing for a fee, including Featured Listings, Boosted Listings, Promotional Placement, Banner Advertising and similar services.

"Platform" means GoPing.in and the websites, accounts, Listing tools, business directory, paid promotional features, applications, APIs, and other products, features or services operated or made available by GoPing from time to time.

"User" means any individual, business, company, organisation, agency, institution or other person or entity that accesses or uses the Platform.

"User Content" means any information, text, images, photographs, videos, documents, data, Listings, Business Profiles or other material submitted, uploaded, published or otherwise made available by a User through the Platform.

Headings are for convenience only and do not affect interpretation. References to the singular include the plural and vice versa, and references to applicable law include amendments and replacements thereof.

Eligibility

The Platform is intended for individuals who are legally capable of entering into binding agreements under applicable law. Individuals who are below the minimum legal age or otherwise lack legal capacity to enter into binding agreements under applicable Indian law shall not create an Account or otherwise use the Platform, except with the prior consent and, where required, supervision of a parent or legal guardian. GoPing may require age or other eligibility verification where reasonably necessary. If GoPing becomes aware that an individual is using the Platform in violation of these requirements, GoPing may, at its discretion, suspend or terminate the relevant Account and restrict access to the Platform.

Accurate and Current Information

Users shall provide accurate, complete and current information when creating or maintaining an Account and shall promptly update such information where necessary. Users represent that all information submitted to GoPing belongs to them or that they are legally authorised to provide it. Users shall not create Accounts using false identities, fictitious or impersonated identities, unauthorised third-party information, or information intended to conceal their identity or mislead GoPing or other users.

Account Credentials and Security

Users are responsible for maintaining the confidentiality and security of their Account credentials, authentication methods and devices used to access the Platform, and for activities carried out through their Account. Users shall promptly notify GoPing of any suspected unauthorised access, compromise of credentials, identity theft or other security incident relating to their Account. GoPing may restrict or suspend an Account while such matter is investigated.

Who May Create an Account

Accounts may be created by eligible individuals and, where supported by the Platform, businesses, companies, organisations, agencies, institutions, professionals or other legal entities. Where an Account is created or operated on behalf of an entity, the person creating or operating the Account represents that they have the necessary authority to act on behalf of and bind that entity to these Terms. GoPing may rely on such representation unless it has reasonable grounds to believe otherwise.

Registration and Authentication

Certain Platform features may require registration. GoPing may make available different authentication methods, including email address, mobile number, single sign-on or other methods introduced from time to time. GoPing may modify, replace, suspend or discontinue any authentication method where reasonably necessary, subject to applicable law.

Verification and Additional Information

GoPing may request additional information or documentation where reasonably necessary to verify eligibility, account ownership, identity, business registration, authority, Listing information, compliance with applicable law, fraud prevention, account recovery, dispute resolution or Platform security. Such information may include identity or business documents, proof of ownership of contact information or supporting documentation relating to a Listing. Failure to provide requested information, or providing false, forged, altered, misleading or incomplete information, may result in refusal of registration, restriction of Account functionality, suspension or termination of the Account, removal of Listings or other appropriate action.

Account Ownership and Use

Each Account is intended solely for the User or legal entity for which it is created. Users shall not transfer, assign, sell, lease, sublicense or otherwise permit another person to use their Account without GoPing's prior written consent. GoPing may reject registration applications, usernames or Business Profiles, or restrict access or functionality where reasonably necessary to comply with applicable law, prevent fraud or abuse, protect users or the Platform, enforce these Terms or protect its legitimate legal or commercial interests.

No Guarantee of Continued Access

Creation of an Account does not guarantee continued access to the Platform or any particular feature or service. Accounts remain subject to continued compliance with these Terms, Privacy Policy, the Community Guidelines(if any) and other applicable GoPing policies.

Responsibility for Account Activity

Users are responsible for activity undertaken through their Accounts, including activity by any person to whom they have provided access or otherwise permitted to use the Account. Users shall take reasonable steps to prevent unauthorised use and promptly notify GoPing of any suspected compromise. Nothing in this clause limits any rights or obligations that cannot lawfully be excluded under applicable law.

No Obligation to Verify

GoPing may undertake verification where it considers it reasonably necessary, but does not undertake to verify the identity, age, qualifications, licences, registrations, authority or eligibility of every User. Users remain responsible for assessing the authenticity, credibility and legitimacy of other Users and their Listings.

Business and Professional Accounts

Where GoPing makes business profiles or specialised Accounts available, such Accounts may be subject to additional eligibility requirements, verification procedures, pricing or service-specific terms. Unless expressly stated otherwise, these Terms continue to apply to such Accounts together with any applicable supplementary terms.

Permitted Use

You may access and use the Platform only for lawful purposes and in accordance with these Terms, the Privacy Policy, the Community Guidelines(If any) and applicable law. The Platform may be used to create, publish, browse, search, discover and connect in relation to Listings concerning lawful goods, services, opportunities, businesses, events, properties, employment, education and other offerings or requirements permitted by GoPing from time to time.

User Listings

Users may create and publish Listings in the categories and formats made available by GoPing. Each User is solely responsible for the content, accuracy, legality and completeness of their Listings and for ensuring that they have all rights, permissions, licences and authority necessary to publish and offer the relevant goods, services, opportunities or other offerings.

Listing Standards

Listings must be lawful, accurate and not misleading, fraudulent, defamatory, abusive, infringing, obscene, sexually explicit or otherwise prohibited under applicable law, these Terms, the Privacy Policy or the Community Guidelines(If any). Users shall not publish Listings relating to unlawful activities or content that may reasonably create a risk to other Users or the Platform.

GoPing's Role

GoPing provides the technological infrastructure for Users to publish, discover and connect through Listings. GoPing does not, unless expressly stated otherwise, own, sell, purchase, manufacture, provide, inspect, verify, certify, endorse or guarantee the goods, services, opportunities or other offerings described in Listings and is not a party to any transaction or arrangement between Users.

User Responsibility for Listings

Users shall independently verify the information contained in any Listing before relying upon it or entering into any communication, transaction or arrangement with another User. GoPing does not guarantee the identity, authority, ownership, quality, safety, legality, authenticity, availability, pricing, accuracy or reliability of any Listing or User-provided information.

Discovery and Connection

GoPing may provide search, categorisation, ranking, recommendations, visibility and other discovery features to assist Users in finding relevant Listings. The manner in which Listings are displayed or ranked may depend on various factors and may be modified from time to time. Placement, visibility or promotion of a Listing does not constitute an endorsement, verification or recommendation by GoPing.

External Communications and Transactions

GoPing does not currently provide an internal messaging or chat facility. Users may communicate directly with one another outside the Platform using contact information voluntarily made available through Listings or Business Profiles. Any such communication, negotiation, transaction, agreement or other arrangement is solely between the relevant Users, and GoPing does not participate in or control it.

Prohibited or Restricted Listings

GoPing may, in accordance with these Terms, the Privacy Policy, the Community Guidelines(If any) and applicable law, refuse, restrict, suspend or remove any Listing or User Content that it reasonably considers unlawful, misleading, fraudulent, abusive, inappropriate, infringing, prohibited or otherwise harmful to Users or the Platform.

Paid Visibility Services

GoPing may offer optional Paid Services that increase the visibility or placement of Listings or other User Content. Unless expressly stated otherwise, purchasing a Paid Service does not guarantee any particular number of views, enquiries, leads, applicants, sales, bookings, customers or other commercial outcome.

No Guarantee of Availability

GoPing does not guarantee that any particular category, Listing, feature or Paid Service will remain available or unchanged. GoPing may add, modify, restrict, suspend or discontinue any part of the Platform where reasonably necessary for operational, commercial, technical, security, legal or other legitimate purposes, subject to applicable law.

Availability of Paid Services

GoPing may offer optional paid services that provide enhanced visibility, placement, promotion, advertising or other features in connection with Listings, Business Profiles or other content. The nature, scope, availability and pricing of such Paid Services may vary and may be modified from time to time.

Paid Service Terms

Each Paid Service may be subject to additional terms, conditions, eligibility requirements or usage limits communicated to the User at or before purchase. By purchasing a Paid Service, the User agrees to the applicable terms presented at the time of purchase.

No Guaranteed Outcome

Unless expressly stated otherwise, the purchase of a Paid Service does not guarantee any particular level of visibility, enquiries, leads, applications, sales, customers, bookings, traffic, revenue or other commercial outcome.

Fees

Fees applicable to Paid Services will be displayed or otherwise communicated to the User before purchase. Payment for such Paid Services must be made upon receipt of the applicable invoice Unless expressly stated otherwise, all fees are non-refundable once the relevant Paid Service has been activated or delivered, except where a refund is required under applicable law or expressly provided by GoPing.

Payment Processing

Payments may be processed through third-party payment service providers or other payment mechanisms made available by GoPing. Users may be required to provide payment-related information necessary to complete a transaction. Such payment processing may be subject to the terms and privacy policies of the relevant payment provider.

Taxes

Applicable taxes, duties, levies or other statutory charges shall be payable in addition to the applicable fees, unless expressly stated otherwise. GoPing may collect or withhold applicable taxes as required by law.

Payment Authorisation

By initiating a purchase, the User authorises the applicable payment provider or payment mechanism to process the transaction for the amount displayed at the time of purchase. Users are responsible for ensuring that the payment information provided is accurate and that they are authorised to use the relevant payment method.

Failed or Unsuccessful Payments

Where a payment is declined, reversed, disputed, incomplete or otherwise unsuccessful, GoPing may suspend or withhold access to the Platform or relevant Paid Service until payment is successfully completed, without affecting any other rights available to GoPing under these Terms.

Refunds and Cancellation

Refunds, where available, shall be governed by the applicable Paid Service terms, refund policy or applicable law. GoPing may determine whether a refund is available where no statutory right to a refund applies.

Promotional Placement

GoPing may provide Users with promotional or advertising options, including paid placement, enhanced visibility, featured positioning, banner advertising or similar promotional formats.

User Responsibility for Promotional Content

Users are solely responsible for ensuring that any content, claims, representations, materials or information submitted for promotional or advertising purposes are accurate, lawful and do not infringe the rights of any third party.

Promotional Content

GoPing may review, reject, modify, restrict or remove promotional content where reasonably necessary to comply with applicable law, these Terms, the Privacy Policy, Community Guidelines(If any), technical requirements or the legitimate operational requirements of the Platform.

Third-Party Advertising

The Platform may display advertisements or promotional content provided by or on behalf of third parties. GoPing does not, merely by displaying such content, endorse or guarantee the advertiser, its products, services, claims or offerings. Users should independently evaluate any third-party offering before engaging with it.

Changes to Paid Services

GoPing may introduce, modify, suspend or discontinue Paid Services, pricing, promotional formats or related features from time to time. Any Paid Service already purchased will, subject to applicable law and the applicable purchase terms, continue to be governed by the terms applicable at the time of purchase.

GoPing's Intellectual Property

The Platform, including its software, technology, design, interfaces, features, functionality, trademarks, logos, text, graphics and other materials provided by GoPing, are owned by or licensed to GoPing and are protected by applicable intellectual property laws. Except as expressly permitted under these Terms, no rights in or to such materials are transferred to any User.

Limited Licence to Use the Platform

Subject to these Terms, GoPing grants Users a limited, non-exclusive, non-transferable and revocable right to access and use the Platform for its intended purposes. This licence does not permit Users to reproduce, modify, distribute, sell, lease, sublicense, reverse engineer, decompile or otherwise exploit any part of the Platform except as expressly permitted by applicable law or with GoPing's prior written consent.

User Content

Users retain ownership of the intellectual property rights in content they lawfully submit, upload or publish through the Platform, subject to the rights granted to GoPing under these Terms.

Licence to GoPing

By submitting or publishing User Content, the User grants GoPing a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, format, display, transmit, distribute and otherwise use such User Content to the extent reasonably necessary to operate, provide, maintain, secure, improve and promote the Platform and its services.

This licence shall continue for so long as reasonably necessary for these purposes and, following removal of the relevant User Content, only to the extent necessary for legitimate operational, legal, security, backup or record-keeping purposes.

User Representations

Users represent that they own or have the necessary rights, permissions and authority to submit and publish their User Content and to grant the rights contemplated under these Terms. User Content must not infringe or misappropriate any third-party intellectual property, privacy, publicity or other rights or violate applicable law.

Public Listings

Users acknowledge that User Content intentionally published in publicly accessible areas of the Platform may be viewed and accessed by other Users and third parties. GoPing does not control the subsequent use of content voluntarily made public by a User.

Removal of Infringing Content

GoPing may remove, restrict or disable access to User Content where it reasonably believes that such content infringes third-party rights, violates applicable law, these Terms or the Community Guidelines(If any), or creates a risk to GoPing, its Users or the Platform.

Feedback

Any suggestions, recommendations, ideas or other feedback voluntarily provided by Users concerning the Platform may be used by GoPing without restriction or compensation, provided that such use does not disclose the User's confidential information.

Permitted Use

Users may access and use the Platform only for lawful purposes and in accordance with these Terms, the Privacy Policy, Community Guidelines(If any) , and applicable law. Users shall use the Platform in a manner that does not interfere with its operation or compromise the security, rights or legitimate interests of GoPing or other Users.

Prohibited Conduct

Users shall not use the Platform to:

publish, upload, transmit or otherwise make available any unlawful, fraudulent, misleading, defamatory, abusive, obscene, sexually explicit or otherwise prohibited content;

publish, promote, offer, solicit or facilitate any illegal goods, services, activities or transactions;

publish or facilitate content involving the exploitation, abuse, trafficking or endangerment of children or other vulnerable persons, or publish personal information, images or other content relating to a child without the requisite legal authority or consent;

publish, promote or facilitate nudity, sexual services, escort or call-girl services, pornography or other sexually explicit or exploitative content;

impersonate any person or entity, misrepresent an identity, affiliation, qualification, ownership or authority, or create fraudulent or misleading accounts or Listings;

publish false, misleading, deceptive, materially incomplete or manipulated Listings or other information;

use the Platform to scam, defraud, deceive, harass, threaten, exploit or otherwise cause harm to another person;

publish, disclose, collect or misuse another person's personal, confidential, financial or sensitive information without lawful authority;

infringe or misappropriate any intellectual property, privacy, publicity, confidentiality or other rights of any person;

use the Platform to distribute spam, unsolicited communications, malicious content, malware, viruses or other harmful or disruptive material;

manipulate Listings, reviews, rankings, visibility, engagement or other Platform features, or circumvent any applicable limits, restrictions, fees or security measures;

use bots, crawlers, scraping tools, scripts or other automated means to access, extract or interact with the Platform except as expressly authorised by GoPing;

interfere with, disrupt, damage or attempt to gain unauthorised access to the Platform, its systems, networks, servers or security features;

use the Platform to conduct activities that may expose GoPing or its Users to regulatory, legal, security or other material risk; or

use the Platform for any purpose that is unlawful, fraudulent, harmful, abusive, unethical, objectionable or otherwise inconsistent with the intended purpose of the Platform or GoPing's policies.

Listings and User Content

Users shall ensure that Listings and other User Content published through the Platform are lawful, accurate to the extent reasonably required, and suitable for publication. GoPing does not undertake to independently verify User Content and Users remain responsible for the content they publish.

Enforcement

GoPing may, where it reasonably considers it necessary and to the extent permitted by applicable law, review, restrict, modify, disable visibility of or remove Listings or User Content, or suspend or terminate an account, where it reasonably believes that the User or the relevant content violates these Terms, the Privacy Policy, Community Guidelines(If any), applicable law, or otherwise presents a risk to Users, the Platform or GoPing.

GoPing may also cooperate with law enforcement or competent authorities where required or permitted by applicable law.

No Obligation to Monitor

GoPing acts as an intermediary and does not proactively monitor all content; however, upon receipt of actual knowledge or notification of any violation, GoPing will take prompt action as required by law.

Reporting Violations

Users may report Listings, accounts or other activity that they reasonably believe violates these Terms, Privacy Policy, Community Guidelines(If any) or applicable law through the reporting mechanisms made available by GoPing. GoPing may review such reports and take such action as it considers appropriate, without being required to take any particular action in response to a report.

Paid Services

GoPing may offer optional paid services, including Featured Listings, Boosted Listings, Promotional Placement, Banner Advertising, subscriptions, premium visibility features and other promotional or commercial services introduced from time to time. GoPing may modify, introduce, replace, suspend or discontinue any Paid Service, including its features, pricing, duration, eligibility, availability, placement or scope, subject to applicable law.

The applicable price, duration, features and other conditions of a Paid Service will be communicated to the User at or before purchase. Unless otherwise stated, prices are exclusive of applicable taxes and other statutory charges.

Payment may be processed by GoPing or by authorised third-party payment providers, banks, financial institutions or other payment platforms. GoPing may refuse, delay, suspend or reverse a transaction where payment cannot be successfully processed or where reasonably necessary to investigate fraud, unauthorised activity, payment disputes, chargebacks, security concerns or legal or regulatory risks. Third-party payment providers operate independently and may be subject to their own terms and privacy policies.

GoPing may request additional information or verification relating to a payment or Paid Service where reasonably necessary to prevent fraud, verify a transaction, comply with applicable law or resolve a payment dispute. Failure to provide reasonably requested information may result in suspension or cancellation of the relevant Paid Service.

Fees are non-refundable except where required by applicable law or as specifically provided in the Service-specific terms. Where a Paid Service is suspended, removed or terminated due to the User's breach of these Terms, applicable law or Platform policies, fraudulent activity, prohibited content or other misconduct, the User shall not be entitled to a refund, credit, extension or compensation except where required by applicable law.

Where a Paid Service cannot be provided solely due to a verified technical or operational failure directly attributable to GoPing, GoPing may, at its discretion and without admitting liability, provide an extension, replacement service, service credit or other reasonable remedy for the affected portion of the Paid Service. GoPing shall not be responsible for failures attributable to User conduct, inaccurate information, internet or device issues, third-party services, payment providers, force majeure events or other circumstances beyond GoPing's reasonable control.

The purchase or use of a Paid Service does not guarantee any particular views, visibility, enquiries, leads, calls, applicants, customers, bookings, sales, revenue, search ranking, engagement or other commercial outcome.

Payments made to GoPing relate solely to the relevant GoPing Paid Service and do not constitute payment for any goods, services, employment, property, transaction or other arrangement between Users.

User Transactions and Interactions

GoPing provides a technology platform through which Users may discover Listings and connect with other Users. GoPing is not a party to any transaction, arrangement, agreement or relationship between Users, and any purchase, sale, rental, employment arrangement, service engagement, booking or other transaction is solely between the relevant parties.

Users are responsible for conducting their own verification and due diligence before relying on a Listing or entering into any transaction or arrangement with another User. GoPing does not guarantee the identity, authority, ownership, quality, legality, availability, accuracy or reliability of any Listing, User or transaction.

GoPing does not currently provide any internal messaging, chat, calling or other communication facility between Users. Users may contact one another outside the Platform using contact information voluntarily made available by a User through a Listing, Business Profile or other Platform feature. Any communication, negotiation, enquiry, transaction, arrangement or relationship established through such contact takes place independently between the relevant Users and is separate from the Platform. GoPing does not initiate, participate in, monitor, supervise, verify, record or control such external communications and shall not be responsible or liable for any loss, damage, claim, dispute, representation, agreement, transaction or other consequence arising from them, except to the extent such liability cannot lawfully be excluded.

A User who contacts another User using information published on the Platform does so at their own discretion, risk and cost and is responsible for independently verifying the relevant User and the information provided, and for complying with applicable law. Users shall not use information obtained through the Platform for any unauthorised, unlawful, abusive, fraudulent, harassing or otherwise prohibited purpose.

Suspension or Restriction by GoPing

GoPing may, at its discretion and to the extent permitted by applicable law, suspend, restrict or limit a User's access to the Platform, account, Listing, User Content or any Platform feature where GoPing reasonably believes that the User has breached these Terms, the Privacy Policy, Community Guidelines(If any) and/or any other policies published on the Platform, violated applicable law or third-party rights, engaged in fraudulent, abusive or unauthorised activity, or otherwise created a risk to the Platform, its Users or GoPing.

Suspension Pending Investigation

GoPing may temporarily suspend or restrict access while investigating suspected violations, fraud, misuse, security concerns or other activity that may adversely affect the Platform or its Users.

Effect of Suspension

During suspension, GoPing may restrict access to the relevant account, Listings, User Content or Platform features and may take such other measures as reasonably necessary to protect the Platform and its Users. Suspension shall not relieve the User of any payment or other obligations accrued prior to or during the suspension.

Term

These Terms shall commence on the date you first access or use the Platform and shall remain in force for a period of [1] year, unless terminated earlier in accordance with these Terms. Upon expiry of the initial term, these Terms shall automatically renew for successive periods of one (1) year each, unless terminated in accordance with these Terms.

Termination for Convenience

Either GoPing or the User may terminate these Terms by providing thirty (30) days' prior written notice to the other party.

Termination for Material Breach

GoPing may terminate these Terms with immediate effect where the User materially breaches these Terms, the Privacy Policy, Community Guidelines(If any) and/or any other policies published on the Platform, including where such breach involves unlawful, fraudulent, abusive or prohibited use of the Platform.

Effect of Termination

Upon termination:

all amounts payable by the User for services provided up to the effective date of termination shall become due and payable;

the User's licence and right to access and use the Platform shall cease;

GoPing may remove or disable the User's Listings, User Content and account access and, where applicable, delete the User's account; and

GoPing may retain information and records in accordance with the Privacy Policy, applicable law and its legitimate legal, security, operational and record-keeping requirements.

No Liability for Suspension or Termination

To the fullest extent permitted by applicable law, GoPing shall not be responsible or liable for any loss, damage or consequence arising from any suspension, restriction or termination carried out in accordance with these Terms, applicable law or GoPing's legitimate interests.

Survival

Any provisions which by their nature are intended to survive termination, including provisions relating to intellectual property, payments, disclaimers, limitations of liability, indemnification, confidentiality, dispute resolution and applicable law, shall survive termination.

Disclaimer of Warranties

To the fullest extent permitted by applicable law, the Platform and its features, Listings, content and services are provided on an “as is” and “as available” basis. GoPing does not make any representation or warranty, express or implied, regarding the accuracy, completeness, reliability, availability, suitability or fitness of the Platform for any particular purpose. Nothing in this clause shall limit or exclude any liability that cannot be excluded under the applicable laws of India, including rights under the Consumer Protection Act, 2019.

GoPing does not own, manufacture, sell, provide, inspect, verify, certify, endorse or control the goods, services, businesses, properties, employment opportunities, events or other offerings described in Listings. GoPing does not guarantee the identity, ownership, authority, qualifications, legality, quality, safety, authenticity, availability, pricing, accuracy or reliability of any Listing or User Content. Users are responsible for independently evaluating and verifying Listings and information before relying upon them or entering into any communication, transaction or arrangement with another User.

GoPing is not a party to communications, negotiations, transactions, agreements or other arrangements between Users. Communications occurring outside the Platform are undertaken independently by the relevant Users, and GoPing does not monitor, verify or control such communications.

GoPing does not warrant that the Platform will be uninterrupted, error-free, secure or free from viruses or other harmful components, or that any particular feature or content will remain available. The Platform may be affected by maintenance, technical failures, internet or telecommunications failures, third-party services, security incidents, governmental action, force majeure events or other circumstances beyond GoPing's reasonable control.

Paid promotional or visibility services do not guarantee any particular level of visibility, enquiries, applications, customers, sales, bookings, revenue or other commercial result. Any performance may depend on factors outside GoPing's reasonable control, including User behaviour, market conditions, Listing quality, demand and competition.

GoPing may use or provide access to third-party websites, payment providers, technologies, APIs, communication services, advertisements and other third-party services. GoPing does not control or assume responsibility for the independent acts, omissions, availability, security, privacy practices, content or services of such third parties. Users' interactions with third parties are subject to the applicable third party's terms and privacy policy.

GoPing may implement reasonable measures to maintain Platform security and reduce fraud, misuse and prohibited activity, but cannot guarantee that the Platform or its Users will be free from fraud, impersonation, misleading information, unlawful conduct, cyberattacks or other misuse.

Each party shall comply with applicable law in connection with its use of, and obligations under, these Terms.

Indemnification

The User shall indemnify, defend and hold harmless GoPing, its affiliates, owners, directors, officers, employees, contractors, service providers, licensors, successors, agents and authorised representatives from and against all claims, demands, complaints, proceedings, investigations, liabilities, damages, penalties, losses, costs, expenses and reasonable legal fees arising out of or in connection with:

.the User's access to or use or misuse of the Platform;

any breach by the User of these Terms, the Privacy Policy, Community Guidelines(If any) and/or any other policies published on the Platform;

any gross negligence, wilful misconduct, fraud, misrepresentation or unlawful act or omission of the User;

any violation of applicable law or any licence, registration, permit, approval or other legal requirement applicable to the User or the User's activities;

any Listing, User Content, Business Profile, advertisement or other information submitted, published or made available by the User;

any infringement or alleged infringement of the intellectual property rights of GoPing or any third party arising from the User's content, materials, activities or use of the Platform;

any breach of confidentiality, privacy or other obligations by the User, including any unauthorised disclosure, publication, dissemination, use or misuse of information obtained through the Platform;

any communication, transaction, agreement, arrangement or other interaction between the User and another User or third party, including any matter arising from information voluntarily published through a Listing or Business Profile; or

any use of third-party services, links or resources accessed, published or used by the User through or in connection with the Platform.

The User shall reasonably cooperate with GoPing in the defence or resolution of any matter covered by this indemnity. GoPing may participate in the defence of any such claim or proceeding, and the User shall not settle any matter in a manner that imposes any liability, admission, obligation or restriction upon GoPing without GoPing's prior written consent.

The obligations under this Section shall survive suspension, termination or deletion of the User's Account to the extent necessary to address claims arising from acts or omissions occurring before or in connection with such suspension, termination or deletion.

Limitation of Liability

To the fullest extent permitted by applicable law, GoPing shall not be responsible or liable for any indirect, incidental, consequential, special, exemplary or punitive loss or damage, or loss of profits, revenue, business, opportunity, goodwill, anticipated savings, data or business interruption arising out of or relating to the Platform, Listings, User Content, Paid Services, User communications, transactions, third-party services or these Terms.

To the fullest extent permitted by applicable law, GoPing shall not be responsible or liable for any acts, omissions, representations, products, services, transactions, communications or conduct of any User or independent third party, including fraud, misrepresentation, unlawful activity, non-performance, disputes or misuse of information voluntarily made available through the Platform.

GoPing's total aggregate liability arising out of or in connection with these Terms, the Platform, or any services provided by GoPing shall not exceed an amount equal to the fees actually paid by the User to GoPing during the six (6) months immediately preceding the event giving rise to the relevant claim.

Governing Law

These Terms and the use of the Platform shall be governed by and construed in accordance with the laws of the Republic of India, without regard to its conflict of law principles.

Amicable Resolution

In the event of any dispute, controversy or claim arising out of or relating to these Terms, the Platform, or the services provided by GoPing, the parties shall first attempt in good faith to resolve the matter amicably through discussions between their respective authorised representatives.

Arbitration

If the dispute is not resolved within thirty [30] days from the date on which one party gives written notice of the dispute to the other, the dispute shall be finally resolved by arbitration in accordance with the Arbitration and Conciliation Act, 1996, as amended from time to time.

The arbitration shall be conducted by a sole arbitrator, mutually appointed by the parties. If the parties are unable to agree upon the appointment of the arbitrator within fifteen [15] days, the arbitrator shall be appointed in accordance with the Arbitration and Conciliation Act, 1996.

The seat and venue of arbitration shall be Goa, India, and the arbitration proceedings shall be conducted in English.

The arbitral award shall be final and binding on the parties and may be enforced in any court of competent jurisdiction.

Interim and Injunctive Relief

Nothing in this Section shall prevent GoPing from seeking interim, protective or injunctive relief from a court of competent jurisdiction where reasonably necessary to protect its intellectual property, confidential information, Platform, systems, users, or other legitimate rights and interests.

Jurisdiction

Subject to the arbitration provisions above, the courts at South Goa, India shall have exclusive jurisdiction over matters arising out of or relating to these Terms, including applications for interim relief, enforcement of an arbitral award, or matters that are not capable of being resolved through arbitration.

Statutory Rights

Nothing in these Terms shall restrict any rights, remedies or protections that cannot lawfully be excluded or waived under applicable law.

Force Majeure

GoPing shall not be responsible or liable for any delay, interruption, suspension or failure to perform any obligation or provide any Platform service to the extent caused by circumstances beyond its reasonable control, including natural disasters, floods, earthquakes, fires, pandemics, governmental lockdowns, pandemics, epidemics, war, terrorism, civil unrest, strikes, governmental or regulatory action, changes in law, court orders, internet or telecommunications failures, power failures, cyberattacks, security incidents, failures of cloud or infrastructure providers, payment network failures, or other similar events beyond GoPing's reasonable control.

During the continuance of a force majeure event, GoPing may suspend, restrict, modify or delay affected services and take such measures as it reasonably considers necessary to protect the Platform and its Users and restore affected services.

A force majeure event shall not relieve a User of any payment obligation that accrued before the occurrence of the relevant event, except where otherwise required by applicable law.

General Provisions

Entire Agreement. These Terms, together with the Privacy Policy, Community Guidelines(If any), and all other policies, notices, guidelines or terms expressly published or incorporated by GoPing on the Platform, shall be read and construed together, shall be considered an integral part of the agreement between GoPing and the User, and shall collectively govern the User's access to and use of the Platform. In the event of any inconsistency between these Terms and any such policy or document, these Terms shall prevail solely to the extent of the inconsistency, unless expressly stated otherwise in the relevant document or required by applicable law.

Independent Relationship. Nothing in these Terms creates or shall be construed to create any partnership, joint venture, agency, employment, franchise, fiduciary or other similar relationship between GoPing and any User. No User has authority to make any representation, commitment or obligation on behalf of GoPing unless expressly authorised in writing.

Assignment. The User may not assign, transfer or otherwise deal with any of its rights or obligations under these Terms without GoPing's prior written consent. GoPing may assign or transfer these Terms, in whole or in part, to an affiliate, successor or purchaser of all or part of its business or assets, or in connection with a merger, restructuring, financing or similar transaction.

Severability. If any provision of these Terms is held to be invalid, unlawful or unenforceable, that provision shall be modified or severed to the minimum extent necessary, and the remaining provisions shall continue in full force and effect to the extent permitted by applicable law.

Waiver. Any failure or delay by GoPing in exercising a right or remedy under these Terms shall not constitute a waiver of that right or remedy or prevent its subsequent exercise.

Notices and Electronic Communications. GoPing may provide notices, updates, account communications, policy changes, payment confirmations, security notifications and other communications electronically through the Platform, email, SMS, mobile notifications or other reasonable means available to GoPing. Users are responsible for maintaining accurate and accessible contact information associated with their Account.

No Third-Party Beneficiaries. Except where expressly provided otherwise in these Terms, nothing in these Terms is intended to confer any right or remedy on any person other than GoPing and the User.

Electronic Acceptance. Electronic acceptance of these Terms, including through an online acceptance mechanism, Account creation or continued use of the Platform where legally permissible, shall constitute valid acceptance of these Terms and shall have the same effect as acceptance in physical form, to the extent permitted by applicable law.

Survival. Provisions which by their nature are intended to survive termination or expiry of these Terms, including those relating to intellectual property, payments, disclaimers, limitation of liability, indemnification, dispute resolution, governing law, confidentiality and accrued rights and obligations, shall survive such termination or expiry.

Compliance with Law. Each party shall comply with applicable law in connection with its respective rights and obligations under these Terms.

Updates. Company reserves the right, in its sole discretion, to modify these Terms at any time (each, an “Update”) and shall make each Update available through the Website and/or email notification to you, in advance. You are deemed to accept any Update by continuing to use the Service unless you terminate the Service. Unless Company states otherwise, an Update is automatically effective 30 days after such Update is made available on the Website, except in such case where an Update is immaterial to any of your legal rights or legal obligations of Company and Update is made only to correct a grammar, formatting or typographical inaccuracy and in such case, an Update is effective immediately after it is made available on the Website.
